These Terms and Conditions (“Terms”) govern your access to and use of the websites, platforms, tools, applications, communications, and services provided by Zaiko Automotive Technologies, LLC d/b/a Zaiko Trader (“Zaiko Trader,” “Zaiko,” “we,” “us,” or “our”) collectively, the “Services.”

Please read these Terms carefully. By accessing or using the Services, creating an account, submitting information, or communicating with us, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Services.

The Services are intended for business and automotive-related use, including use by dealerships, wholesalers, automotive professionals, vehicle buyers, sellers, and authorized representatives.

If you use the Services on behalf of a business, dealership, or other entity, you represent that you have authority to bind that entity to these Terms.

2. Accounts and Registration

To access certain features, you may need to create an account or provide information to Zaiko Trader.

You agree to:

Provide accurate, current, and complete information
Keep your account information updated
Maintain the confidentiality of your login credentials
Be responsible for all activity under your account
Notify us promptly of unauthorized access or suspected security issues

We may suspend or terminate accounts that contain inaccurate information, violate these Terms, or create risk for Zaiko Trader, users, or third parties.

3. Services

Zaiko Trader may provide automotive-related technology, tools, communications, marketplace features, inventory-related services, vehicle data, lead management, analytics, dealer tools, or other related services.

We may modify, suspend, discontinue, or update any part of the Services at any time. We do not guarantee that any feature will always be available or remain unchanged.

4. Payments, Fees, and Subscriptions

Some Services may require payment, subscription fees, transaction fees, or other charges.

If fees apply, you agree to pay all charges presented to you at the time of purchase or subscription. Fees may be billed in advance or on a recurring basis, depending on the service selected.

Unless otherwise stated:

Fees are non-refundable except as required by law
You are responsible for applicable taxes
Subscriptions may automatically renew unless canceled before renewal
We may change pricing with advance notice where required

If payment fails or fees are overdue, we may suspend or terminate access to paid Services.

5. Acceptable Use

You agree not to:

Use the Services for unlawful, fraudulent, deceptive, or harmful purposes
Violate any applicable law, regulation, or third-party right
Submit false, misleading, inaccurate, or incomplete information
Upload malicious code, viruses, or harmful materials
Attempt to gain unauthorized access to our systems or other accounts
Interfere with the operation or security of the Services
Scrape, harvest, or collect data except as expressly permitted
Reverse engineer, decompile, or attempt to extract source code
Resell, sublicense, or redistribute the Services without our written consent
Use the Services to build or support a competing product
Impersonate another person or misrepresent your affiliation
Upload content that infringes intellectual property, privacy, publicity, or other rights
Use the Services in a way that damages Zaiko Trader, users, dealers, partners, or third parties

We reserve the right to investigate violations and take appropriate action, including suspension or termination.

6. User Content

6.1 Ownership

You retain ownership of content, information, data, images, vehicle details, documents, messages, listings, notes, or other materials you submit to the Services (“User Content”).

6.2 License to Zaiko Trader

You grant Zaiko Trader a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, process, transmit, modify for formatting, and use User Content as reasonably necessary to provide, operate, improve, and support the Services.

6.3 Responsibility for User Content

You are solely responsible for your User Content. You represent and warrant that:

You have the necessary rights and permissions to submit the User Content
The User Content is accurate to the best of your knowledge
The User Content does not violate applicable law or third-party rights
Your use of the Services complies with all applicable automotive, advertising, consumer protection, privacy, and communications laws

7. Vehicle Information, Listings, Pricing, and Analytics

Zaiko Trader may provide vehicle information, market data, pricing tools, analytics, recommendations, scores, alerts, or other automotive-related information.

All such information is provided for informational purposes only. Zaiko Trader does not guarantee the accuracy, completeness, availability, marketability, value, condition, legality, or suitability of any vehicle, listing, lead, transaction, or recommendation.

You are solely responsible for verifying all vehicle information, including but not limited to:

Title status
Ownership
Condition
Mileage
Accident history
Pricing
Availability
Compliance with applicable laws
Transaction terms

Zaiko Trader does not provide legal, financial, tax, insurance, appraisal, or business advice.

8. Communications and SMS Terms

By providing your phone number and opting in, you authorize Zaiko Trader to send SMS/text messages related to the Services.

Messages may include:

Service updates
Appointment reminders
Account notifications
Follow-up communications
Vehicle or marketplace alerts
Marketing messages, where permitted by law and with appropriate consent

Message frequency varies. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

You may opt out at any time by replying STOP. For help, reply HELP or contact privacy@zaikoauto.com.

Zaiko Trader does not sell or share SMS opt-in data, mobile phone numbers, or SMS consent records with third parties or affiliates for their own marketing or promotional purposes.

9. Intellectual Property

The Services, including software, designs, text, graphics, logos, trademarks, service marks, trade names, content, features, and functionality, are owned by Zaiko Trader or its licensors and are protected by intellectual property laws.

Subject to these Terms, Zaiko Trader grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your authorized purposes.

No rights are granted except as expressly stated in these Terms.

10. Third-Party Services

The Services may link to, integrate with, or rely on third-party services, platforms, tools, data providers, payment processors, mapping services, CRM systems, listing platforms, or automotive integrations.

Your use of third-party services may be governed by separate terms and privacy policies. Zaiko Trader is not responsible for third-party services, content, data, availability, security, or practices.

11. Feedback

If you provide suggestions, ideas, comments, improvements, or feedback, you grant Zaiko Trader a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without compensation or obligation to you.

12. Confidentiality

In connection with the Services, each party may receive confidential or proprietary information from the other. The receiving party agrees to use reasonable care to protect confidential information and to use it only as necessary to perform under these Terms.

Confidential information does not include information that is public, independently developed, lawfully received from another source, or already known without restriction.

13. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect information.

14. Termination

You may stop using the Services at any time.

We may suspend or terminate your access to the Services if:

You violate these Terms
Payment is overdue
Your use creates security, legal, or operational risk
We are required to do so by law
We discontinue the Services

Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

15. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAIKO TRADER DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.

ZAIKO TRADER DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.

ANY VEHICLE DATA, PRICING INFORMATION, ANALYTICS, RECOMMENDATIONS, SCORES, MARKET INSIGHTS, OR SIMILAR INFORMATION IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND SHOULD BE INDEPENDENTLY VERIFIED.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAIKO TRADER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAIKO TRADER’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF:

THE AMOUNT YOU PAID TO ZAIKO TRADER FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE; OR
ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

17. Indemnification

You agree to indemnify, defend, and hold harmless Zaiko Trader and its affiliates, officers, employees, contractors, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

Your use of the Services
Your violation of these Terms
Your User Content
Your violation of applicable law
Your violation of any third-party right
Any vehicle listing, transaction, communication, or business decision involving you

18. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

19. Dispute Resolution

Any dispute arising out of or related to these Terms or the Services will be resolved through binding arbitration administered by the American Arbitration Association under its applicable rules, unless otherwise required by law.

Arbitration will take place in Travis County, Texas, unless the parties agree otherwise.

Either party may seek injunctive or equitable relief in court for claims involving intellectual property, confidentiality, unauthorized access, or misuse of the Services.

20. Class Action Waiver

You and Zaiko Trader agree that disputes will be resolved only on an individual basis. You waive any right to bring or participate in a class action, class arbitration, collective action, or representative proceeding.

21. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date above reflects the most recent version.

If we make material changes, we may provide notice by email, website notice, or other reasonable means. Continued use of the Services after the effective date of updated Terms means you accept the updated Terms.

22. General Terms

22.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable order forms or written agreements, constitute the entire agreement between you and Zaiko Trader regarding the Services.

22.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

22.3 No Waiver

Failure to enforce any provision is not a waiver of our right to do so later.

22.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.

22.5 Force Majeure

Zaiko Trader is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, labor disputes, internet outages, cyberattacks, war, terrorism, government actions, or service provider failures.
